Agreement to Terms

By accessing or using the services provided by Bright Layer Labs ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Services Description

Bright Layer Labs provides custom software development services, including but not limited to:

• Web application development
• Mobile application development
• Software architecture and consulting
• Technology strategy and planning
• Ongoing support and maintenance

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements
• Respond promptly to requests for information or feedback
• Make timely payments according to agreed terms
• Provide necessary access to systems and resources
• Respect intellectual property rights

Intellectual Property

Client-Owned IP

Upon full payment, you will own the intellectual property rights to the custom software developed specifically for your project, excluding any pre-existing tools, frameworks, or libraries.

Company-Owned IP

We retain ownership of our proprietary methodologies, tools, frameworks, and any pre-existing intellectual property used in the development process.

Payment Terms

• Payment terms will be specified in individual project agreements
• Late payments may incur additional fees
• Services may be suspended for non-payment
• All fees are non-refundable unless otherwise specified

Project Scope and Changes

Project scope will be defined in separate statements of work. Any changes to the agreed scope may result in additional fees and timeline adjustments, which must be approved in writing.

Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no guarantees regarding specific outcomes or results. Our services are provided "as is" without any other express or implied warranties.

Limitation of Liability

In no event shall Bright Layer Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid for the specific services giving rise to the claim.

Confidentiality

We agree to maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent. This obligation survives termination of our agreement.
